These Terms and Conditions ("Terms") are a legally binding agreement between you and Unite-ED ("Unite-ED," "Company," "we," "us," or "our") and govern your access to and use of the Unite-ED website located at myunite-ed.com, our mobile applications, and all related features, content, and services (collectively, the "Platform"). By accessing, browsing, registering for, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.
IMPORTANT NOTICE: Section 14 contains a binding arbitration provision and a class action waiver that affect your legal rights, including how disputes between you and Unite-ED are resolved. Please review it carefully.
1. Eligibility and Accounts
1.1 You must be at least eighteen (18) years of age and capable of forming a legally binding contract to create an account or use the Platform. Accounts are for the use of homeschooling families, parents, guardians, educators, tutors, co-ops, microschools, hybrid schools, and learning centers. The Platform is not directed to children, and we do not knowingly permit children under the age of thirteen (13) to create accounts. 1.2 You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. 1.3 Your account is personal to you and may not be sold, transferred, shared, or assigned to any other person or entity without our prior written consent.
2. The Platform and Its Role
Unite-ED operates solely as a technology platform that connects homeschooling families with educators, tutors, co-ops, microschools, hybrid schools, learning centers, and with one another. Unite-ED is not a school, educational institution, employment agency, or staffing service, and does not provide educational, tutoring, or childcare services. Educators, tutors, and learning centers are independent third parties and are not employees, agents, or representatives of Unite-ED. We do not control, supervise, endorse, guarantee, or assume responsibility for the conduct, services, qualifications, content, or communications of any user. Any arrangement, agreement, transaction, or interaction between users is solely between those users. You are solely responsible for conducting your own due diligence, including verifying credentials and, where applicable, obtaining background checks, before engaging with any other user.
3. License to Use the Platform
Subject to your compliance with these Terms, Unite-ED grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use of finding, offering, or coordinating home-education services as intended. All rights not expressly granted are reserved by Unite-ED. This license does not permit you to resell or make any commercial use of the Platform, to use any data mining, robots, scraping, or similar data gathering tools, or to download or copy account information for the benefit of another party.
4. Acceptable Use
You agree to use the Platform lawfully, respectfully, and in accordance with these Terms. Without limitation, you agree that you will not:
- a) Violate any applicable federal, state, or local law, regulation, or third-party right;
- b) Provide false, misleading, inaccurate, or fraudulent information, or impersonate any person or entity;
- c) Harass, threaten, stalk, defame, abuse, intimidate, or harm any other user, child, or Unite-ED staff member;
- d) Post or transmit content that is unlawful, obscene, sexually explicit, defamatory, discriminatory, hateful, harassing, or otherwise objectionable;
- e) Engage in any conduct that endangers the safety or wellbeing of any child;
- f) Upload viruses, malware, or any code designed to disrupt, damage, or gain unauthorized access to the Platform or any system or data;
- g) Attempt to gain unauthorized access to other accounts, computer systems, or networks connected to the Platform;
- h) Interfere with, overburden, or disrupt the Platform, its servers, or networks;
- i) Use the Platform to send unsolicited communications, spam, advertising, or promotional material not approved by Unite-ED;
- j) Collect, harvest, or store personal information about other users except as necessary for legitimate use of the Platform; or
- k) Circumvent, disable, or otherwise interfere with any security-related features of the Platform.
We reserve the right, but are not obligated, to monitor, review, restrict, suspend, or terminate access for any user who violates these Terms, and to report suspected unlawful activity to law enforcement.
5. User Content
5.1 The Platform may allow you to create, post, upload, or share content such as profiles, photos, messages, listings, reviews, and other materials ("User Content"). You retain ownership of your User Content, but you grant Unite-ED a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, adapt, and distribute your User Content solely as necessary to operate, provide, and promote the Platform. 5.2 You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe or violate the rights of any third party or any law. 5.3 You are solely responsible for your User Content, and Unite-ED is not responsible for any User Content posted by you or any third party. We may remove or disable any User Content at our discretion, without notice, for any reason.
6. Subscriptions, Fees, and Payments
Certain features of the Platform may require a paid subscription or fee. Applicable pricing, billing cycles, renewal terms, and refund policies are described at the point of purchase, in the applicable service agreement, and at myunite-ed.com/priceplans. Unless otherwise stated in a separate written agreement, fees are billed in advance, are non-refundable except as required by law, and subscriptions may automatically renew until cancelled in accordance with the applicable plan terms. You authorize us and our third-party payment processors to charge your designated payment method for all applicable fees. You are responsible for all taxes associated with your use of the Platform other than taxes based on Unite-ED's net income.
7. Third-Party Services and Links
The Platform may contain links to or integrations with third-party websites, applications, payment processors, and services that are not owned or controlled by Unite-ED. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is at your own risk and subject to the terms and privacy policies of those third parties.
8. Intellectual Property
The Platform and all of its content, features, and functionality — including but not limited to the Unite-ED name, logo, text, graphics, designs, software, and the selection and arrangement thereof — are the exclusive property of Unite-ED and its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any part of the Platform except as expressly permitted by these Terms.
9. Privacy
Your privacy is important to us. Our collection, use, storage, sharing, and protection of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the practices described in the Privacy Policy. You may request deletion of your data as described in our Data Deletion Request page.
10. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, UNITE-ED DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. UNITE-ED DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES, OR THAT ANY DEFECTS WILL BE CORRECTED. UNITE-ED MAKES NO WARRANTY REGARDING THE CONDUCT, QUALIFICATIONS, OR SERVICES OF ANY USER OR THE QUALITY, SAFETY, OR OUTCOME OF ANY EDUCATIONAL OR OTHER SERVICES ARRANGED THROUGH THE PLATFORM. YOU USE THE PLATFORM AT YOUR OWN RISK.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UNITE-ED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY CONDUCT OR CONTENT OF ANY USER, OR ANY SERVICES OBTAINED THROUGH THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT UNITE-ED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL UNITE-ED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UNITE-ED IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Indemnification
You agree to defend, indemnify, and hold harmless Unite-ED and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your User Content; (d) your violation of any law or the rights of any third party; or (e) any dispute or interaction between you and any other user.
13. Termination
We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. You may stop using the Platform and request deletion of your account at any time. Upon termination, the licenses granted to you will end, but provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will continue to apply.
14. Governing Law and Dispute Resolution
14.1 These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. 14.2 Binding Arbitration. Except for claims that may be brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by final and binding arbitration administered on an individual basis in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction. The arbitration shall take place in or be administered from the State of Florida. 14.3 Class Action Waiver. You and Unite-ED agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. 14.4 You may opt out of this arbitration agreement by sending written notice to admin@myunite-ed.com within thirty (30) days of first accepting these Terms.
15. Changes to These Terms
We may modify these Terms at any time in our sole discretion. If we make material changes, we will provide notice by posting the updated Terms on the Platform with a new "Last Updated" date and, where appropriate, by other reasonable means. Your continued use of the Platform after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.
16. General
These Terms, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Unite-ED regarding the Platform. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely. The section headings are for convenience only and do not affect interpretation.
